Your use of Promise Land Youth Foundation’s products, software, services, and web sites (the “Services”) is subject to the terms of this legal agreement between you and PLY Foundation. “Promise Land Youth Foundation” means Promise Land Youth Foundation located 217 E 8th Street Los Angeles CA,. This document sets out the terms of that agreement. Unless otherwise agreed in writing with PLY Foundation, your agreement with PLY Foundation will always include the terms and conditions set out in this document, and the terms of any Legal Notices applicable to the Services which will be accessible for you to read either within, or through your use of, that Service (collectively, the “Terms”).
In order to use the Services, you must first agree to the Terms. You may not use the Services if you do not accept the Terms. You can accept the Terms by:
You may not use the Services and may not accept the Terms if (a) you are not of legal age to form a binding contract with Augmental, or (b) you are a person barred from receiving the Services under the laws of the USA or other countries including the country in which you are resident or from which you use the Services.
The Services are provided entirely under a Software-as-a-Service (SAAS) delivery model. Augmental aims to provide 99% platform uptime for the Services. In the event of downtime and/or lack of access to the Services, we shall correct such loss or interruption as quickly as practicable.
You acknowledge and agree that:
In order to access certain Services, you may be required to provide information about yourself (such as identification or contact details) as part of the registration process for the Service, or as part of your continued use of the Services. You agree that any registration information you give to PLY Foundation will always be accurate, correct, and up-to-date. You agree to use the Services only for purposes that are permitted by (a) the Terms and (b) any applicable law, regulation, or generally accepted practices or guidelines in the relevant jurisdictions (including any laws regarding the export of data or software to and from any relevant countries). You agree not to access (or attempt to access) any of the Services by any means other than through the interface that is provided by Augmental, unless you have been specifically allowed to do so in a separate agreement with PLY Foundation. You specifically agree not to access (or attempt to access) any of the Services through any automated means (including use of scripts or web crawlers). You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services). Unless you have been specifically permitted to do so in a separate agreement with PLY Foundation, you agree that you will not reproduce, duplicate, copy, sell, trade, or resell the Services for any purpose. You agree that you are solely responsible for (and that PLY Foundation has no responsibility to you or to any third party for) any breach of your obligations under the Terms and for the consequences (including any loss or damage which PLY Foundation may suffer) of any such breach.
You are responsible for maintaining the confidentiality of passwords associated with any account you use to access the Services, and you agree that you will be solely responsible to PLY Foundation for all activities that occur under your account. If you become aware of any unauthorized use of your password or of your account, you agree to notify PLY Foundation immediately at opportunity@promiseland.capital.
As PLY Foundation is an American company, you are protected by the law. The law prohibits a person who, by reason of their profession, craft, situation or art, is entrusted with a "secret," from using or disclosing that "secret," without the consent of the person to whom the secret pertains, or otherwise in accordance with the law. Some of the information you provide us as part of your dealings with us is “secret” under the Code. Because of our Global nature, PLY Foundation also has policies and processes, in line with Schrems II to be compliant with the GDPR. Our Privacy Policy sets out how we collect, handle, use, transmit, and disclose your Personal Information and applies to you unless you give us explicit consent to act otherwise.
By accessing, browsing, or using the Services, registering to use the Services, uploading materials to the Services, or by obtaining materials or applications provided via the Services, you acknowledge that you have read, understood, and agree to be bound by our Privacy Policy. If you do not agree to this Privacy Policy, do not use or register to use the Services, upload materials, or obtain any materials via the Services.
Newsletters
By signing up to PLY Foundation, you may voluntarily opt-in to receive PLY Foundation newsletters and other special offer emails. If you no longer wish to receive these emails, you may opt-out at any time by unsubscribing using the link at the bottom of all newsletters and other special offer emails.
Subscription management
By signing up to PLY Foundation, you agree to receive communications from PLY Foundation for membership management and/or administrative purposes, such as membership confirmation, profile information validation, and other similar reasons. Communication may come in the form of e-mail, phone calls, and/or postal mail. You cannot opt-out of receiving these communications, unless you terminate your subscription with PLY Foundation.
You will at all times be the owner of your Content created or hosted on the Services unless otherwise agreed in writing (see also the next section). “Content” includes lessons created on the Service by you, your collaborators or a third party including any material that you utilize or supply in the creation of your Content including text, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features, and other materials you may view on, access through, or contribute to the Service.
You will be solely responsible for maintaining the accuracy and integrity of your Content including recognition of any intellectual property rights or obligations including copyright. Augmental shall under no circumstance have any responsibility or liability whatsoever with respect to the intellectual property rights related to your Content.
PLY Foundation does not permit copyright infringing activities and infringement of intellectual property rights on the Service. If a user or third-party wishes to make a claim of copyright infringement, they must do so by emailing opportunity@promiseland.capital. PLY Foundation will notify the owner of the Content under dispute; PLY Foundation will then rely on the two parties to resolve the issue. PLY Foundation reserves the right to remove, or remove access to, Content without prior notice.
You will have the ability to delete your Content through the options provided by the Services. Despite this, your Content may still be stored by the Services backup drives, and/or other backup media for a limited time. PLY Foundation has no responsibility to attempt to recover deleted Content.
You acknowledge and agree that PLY Foundation (or PLY Foundations licensors) own all legal right, title, and interest in and to the Services, including any intellectual property rights which subsist in the Services (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You further acknowledge that the Services may contain information which is designated confidential by PLY Foundationand that you shall not disclose such information without PLY Foundation’s prior written consent. Unless you have agreed otherwise in writing with PLY Foundation, nothing in the Terms gives you a right to use any of Augmental’s trade names, trademarks, service marks, logos, domain names, and other distinctive brand features.
PLY Foundation acknowledges and agrees that it obtains no right, title, or interest from you (or your licensors) under these Terms in or to any Content that you submit, post, develop, transmit, or display on, or through, the Services, including any intellectual property rights which subsist in that Content (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You agree that you are responsible for protecting and enforcing those rights and that PLY Foundation has no obligation to do so on your behalf.
You agree that you shall not remove, obscure, or alter any proprietary rights notices (including copyright and trademark notices) which may be affixed to or contained within the Services. Unless you have been expressly authorized to do so in writing by PLY Foundation you agree that in using the Services you will not use any trademark, service mark, trade name, logo of any company or organization in a way that is likely or intended to cause confusion about the owner or authorized user of such marks, names, or logos.
PLY Foundation may from time to time update, enhance, modify and improve the Service. These updates are designed to improve, enhance, and further develop the Services and may take the form of bug fixes, enhanced functions, new software modules, and completely new versions. You agree to receive such updates as part of your use of the Services.
PLY Foundation provides our Services on a number of flexible licensing models, including free trial, monthly subscriptions with no lock-in, and annual licenses with standard termination provisions.
Free trial accounts
Free trial accounts require no payment and potential clients are not required to provide credit card details.
Paid subscriptions
Once customers upgrade to our paid plans, we will begin invoicing on a monthly or annual basis depending on the plan selected by the customer. Payments are due in 30 days from the date of the invoice. We accept wire transfers and other payment methods preferred by the customer.
Refunds
There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.
Changing payment plans
To cancel or change your monthly subscription, or upgrade to an annual license, please email support@augmental.education. For any upgrade or downgrade in plan level while on a monthly billing cycle, the credit card that you provided will automatically be charged the new rate on your next billing cycle.
The Terms will continue to apply until terminated by either you or PLY Foundation as set out below. If you want to terminate your legal agreement with PLY Foundation, you may do so by (a) notifying PLY Foundation at any time and (b) closing your accounts for all of the Services which you use, where PLY Foundation has made this option available to you. Your notice should be sent, in writing, to the following email address: opportunity@promiseland.captial or to your account manager's email address. PLY Foundation may at any time, terminate its legal agreement with you if:
When these Terms come to an end, all of the legal rights, obligations, and liabilities that you and PLY Foundation have benefited from, been subject to (or which have accrued over time whilst the Terms have been in force), or which are expressed to continue indefinitely, shall be unaffected by this cessation.
Nothing in these terms shall exclude or limit PLY Foundation’s warranty or liability for losses which may not be lawfully excluded or limited by applicable law. Only the limitations which are lawful in your jurisdiction will apply to you and our liability will be limited to the maximum extent permitted by law. You expressly understand and agree that your use of the services is at your sole risk and that the services are provided “as is” and “as available”. In particular, PLY Foundation, its subsidiaries and affiliates, and its licensors do not represent or warrant to you that:
Any material downloaded or otherwise obtained through the use of the services is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or other device or loss of data that results from the download of any such material. No advice or information, whether oral or written, obtained by you from PLY Foundation or through or from the services shall create any warranty not expressly stated in the terms. PLY Foundation further expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to, the implied warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement.
You understand and agree that PLY Foundation, its subsidiaries and affiliates, and its licensors shall not be liable to you for:
The limitations on Augmental’s liability to you in paragraph 1 above shall apply whether or not PLY Foundation has been advised of or should have been aware of the possibility of any such losses arising.
The Services may include hyperlinks to other web sites or content or resources. PLY Foundation may have no control over any web sites or resources which are provided by companies or persons other than PLY Foundation. You acknowledge and agree that PLY Foundation is not responsible for the availability of any such external sites or resources, and does not endorse any advertising, products, or other materials on or available from such web sites or resources. You acknowledge and agree that PLY Foundation is not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy, or existence of any advertising, products, or other materials on, or available from, such websites or resources.
PLY Foundation may make changes to the Terms from time to time, and will make a new copy of the Terms available at www.plyfoundation.com/terms, and any new additional terms will be made available to you from within, or through, the relevant Services. You understand and agree that if you use the Services after the date on which the Terms have changed, PLY Foundation will treat your use as acceptance of the updated Terms.
Sometimes when you use the Services, you may (as a result of, or through your use of the Services) use a service or download a piece of software, or purchase goods, which are provided by another person or company. Your use of these other services, software, or goods may be subject to separate terms between you and the company or person concerned. If so, the Terms do not affect your legal relationship with these other companies or individuals. The Terms constitute the whole legal agreement between you and PLY Foundation and govern your use of the Services (but excluding any services which PLY Foundation may provide to you under a separate written agreement), and completely replace any prior agreements between you and PLY Foundation in relation to the Services. You agree that PLY Foundation may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on the Services. You agree that if PLY Foundation does not exercise or enforce any legal right or remedy which is contained in the Terms (or which PLY Foundation has the benefit of under any applicable law), this will not be taken to be a formal waiver of PLY Foundation’s rights and that those rights or remedies will still be available to PLY Foundation. If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable. You acknowledge and agree that each member of the group of companies of which PLY Foundation is the parent shall be third party beneficiaries to the Terms and that such other companies shall be entitled to directly enforce, and rely upon, any provision of the Terms which confers a benefit on (or rights in favor of) them. Other than this, no other person or company shall be third party beneficiaries to the Terms. The Terms, and your relationship with PLY Foundation under the Terms, shall be governed by the laws of the USA, without regard to its conflict of laws provisions. You and PLY Foundation agree to submit to the exclusive jurisdiction of the courts located within the USA, to resolve any legal matter arising from the Terms. Notwithstanding this, you agree that PLY Foundation shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

Among the types of Personal Data that PLY Foundation collects, by itself or through third parties, there are: Tracker; Usage Data; unique device identifiers for advertising (Google Advertiser ID or IDFA, for example); device information; geography/region; number of Users ; number of sessions; session duration; Application opens; Application updates; launches; operating systems; User ID; language; country; crash data; email address; phone number; payment info; first name; last name; billing address; purchase history; name; calendar information; geographic position; Data communicated while using the service; date of birth.

Personal Data may be freely provided by the User, or, in case of Usage Data, collected automatically when using PLY Foundation.
Unless specified otherwise, all Data requested by PLY Foundation is mandatory and failure to provide this Data may make it impossible for PLY Foundation to provide its services. In cases where PLY Foundation specifically states that some Data is not mandatory, Users are free not to communicate this Data without consequences to the availability or the functioning of the Service.
Users who are uncertain about which Personal Data is mandatory are welcome to contact the Owner.
Any use of Cookies – or of other tracking tools — byPLY Foundation or by the owners of third-party services used by PLY Foundation serves the purpose of providing the Service required by the User, in addition to any other purposes described in the present document and in the Cookie Policy.
Users are responsible for any third-party Personal Data obtained, published or shared through PLY Foundation
The Owner takes appropriate security measures to prevent unauthorized access, disclosure, modification, or unauthorized destruction of the Data.
The Data processing is carried out using computers and/or IT enabled tools, following organizational procedures and modes strictly related to the purposes indicated. In addition to the Owner, in some cases, the Data may be accessible to certain types of persons in charge, involved with the operation of PLY Foundation (administration, sales, marketing, legal, system administration) or external parties (such as third-party technical service providers, mail carriers, hosting providers, IT companies, communications agencies) appointed, if necessary, as Data Processors by the Owner. Unless specified otherwise in this document, Personal Data shall be processed and stored for as long as required by the purpose they have been collected for and may be retained for longer due to applicable legal obligation or based on the Users’ consent.

In any case, the Owner will gladly help to clarify the specific legal basis that applies to the processing, and in particular whether the provision of Personal Data is a statutory or contractual requirement, or a requirement necessary to enter into a contract.
Unless specified otherwise in this document, Personal Data shall be processed and stored for as long as required by the purpose they have been collected for and may be retained for longer due to applicable legal obligation or based on the Users’ consent.

Users must know that, however, should their Personal Data be processed for direct marketing purposes, they can object to that processing at any time, free of charge and without providing any justification. Where the User objects to processing for direct marketing purposes, the Personal Data will no longer be processed for such purposes. To learn whether the Owner is processing Personal Data for direct marketing purposes, Users may refer to the relevant sections of this document.
Any requests to exercise User rights can be directed to the Owner through the contact details provided in this document. Such requests are free of charge and will be answered by the Owner as early as possible and always within one month, providing Users with the information required by law. Any rectification or erasure of Personal Data or restriction of processing will be communicated by the Owner to each recipient, if any, to whom the Personal Data has been disclosed unless this proves impossible or involves disproportionate effort. At the Users’ request, the Owner will inform them about those recipients.
The User's Personal Data may be used for legal purposes by the Owner in Court or in the stages leading to possible legal action arising from improper use ofPLY Foundation or the related Services.
The User declares to be aware that the Owner may be required to reveal personal data upon request of public authorities.
In addition to the information contained in this privacy policy, PLY Foundation may provide the User with additional and contextual information concerning particular Services or the collection and processing of Personal Data upon request.
For operation and maintenance purposes, PLY Foundation and any third-party services may collect files that record interaction with PLY Foundation (System logs) or use other Personal Data (such as the IP Address) for this purpose.

The Owner reserves the right to make changes to this privacy policy at any time by notifying its Users on this page and possibly within PLY Foundation and/or - as far as technically and legally feasible - sending a notice to Users via any contact information available to the Owner. It is strongly recommended to check this page often, referring to the date of the last modification listed at the bottom.

Information collected automatically through PLY Foundation (or third-party services employed in PLY Foundation), which can include: the IP addresses or domain names of the computers utilized by the Users who use PLY Foundation, the URI addresses (Uniform Resource Identifier), the time of the request, the method utilized to submit the request to the server, the size of the file received in response, the numerical code indicating the status of the server's answer (successful outcome, error, etc.), the country of origin, the features of the browser and the operating system utilized by the User, the various time details per visit (e.g., the time spent on each page within the Application) and the details about the path followed within the Application with special reference to the sequence of pages visited, and other parameters about the device operating system and/or the User's IT environment.
